Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website located at lakosautomation.com and any related services, software, automations, AI tools, integrations, consulting, or deliverables provided by Lakos Automation (“Lakos Automation,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms.

These Terms are intended primarily for business users and business customers. If you are using the services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” includes both you and that entity.

Eligibility

Lakos Automation’s services are intended for business use only. You must be at least 18 years old to use the services. If you access or use the services on behalf of a business, you must have the legal authority to enter into these Terms on that business’s behalf.

Lakos Automation does not currently impose country-specific access restrictions in this draft but reserves the right to limit or restrict access where required by law, sanctions, security concerns, or business considerations.

Services

Lakos Automation provides AI chatbots, workflow automations, custom integrations, and consulting services for businesses. Services may include website assistants, backend automations, AI-powered workflows, implementation support, custom configuration, documentation, and related technical or advisory services.

Certain services may be governed by separate proposals, statements of work, order forms, or written agreements. If there is a conflict between these Terms and a signed written agreement, the signed written agreement will control to the extent of the conflict.

Accounts and Access

To the extent any service requires an account, workspace, or login credentials, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep that information current.

Lakos Automation may rely on account-level access and administrative permissions provided by you or your organization in order to deliver services, integrations, and support. You are responsible for ensuring that your designated users and administrators are authorized to grant such access.

Payment Terms

Lakos Automation provides custom-quoted projects and consulting services. Pricing, scope, and deliverables may be set out in a proposal, statement of work, invoice, or other written agreement.

Unless otherwise agreed in writing, invoices are due within 15 days of the invoice date. No refunds are provided once work has begun, except at Lakos Automation’s sole discretion or where otherwise required by law.

Lakos Automation does not currently offer a general free trial. If payment is overdue, Lakos Automation may suspend services, pause work, withhold deliverables, revoke access, or terminate the engagement until outstanding amounts are paid.

User Responsibilities

You agree to use the services only for lawful, authorized, and proper business purposes. You may not use the services in a way that violates any law, regulation, third-party right, contract, or platform rule.

You agree not to:

• Use the services for unlawful, fraudulent, harmful, deceptive, abusive, or exploitative purposes.
• Submit, upload, or process content that you do not have the legal right to use, disclose, or process.
• Reverse engineer, probe, interfere with, disrupt, or attempt unauthorized access to the services, related systems, or connected third-party services.
• Use the services to generate spam, malware, harassment, disinformation, deceptive content, or content intended to harm others.
• Use AI-generated outputs as a substitute for legal, medical, financial, or other regulated professional advice.

You are responsible for reviewing, validating, and approving any AI-generated or automation-generated output before relying on it, distributing it, or using it in business operations. You are also responsible for complying with all laws and third-party requirements applicable to your data, prompts, integrations, and use cases.

AI-Specific Terms

Lakos Automation provides services that may incorporate artificial intelligence, machine learning systems, automation logic, and third-party AI model providers. AI-generated outputs may be incomplete, inaccurate, biased, outdated, or unsuitable for a particular purpose and should always be reviewed by a qualified human before use in decision-making or external communication.

Unless otherwise agreed in writing, Lakos Automation does not guarantee that AI outputs will be error-free, unique, uninterrupted, or suitable for any regulated or high-risk use case. You remain solely responsible for your decisions, actions, and any use of outputs generated through the services.

Client data will not be used for AI model training by Lakos Automation unless expressly agreed in writing. Lakos Automation may retain limited interaction data for logging, debugging, security, service improvement, and quality assurance purposes as described in its Privacy Policy.

Intellectual Property

Lakos Automation and its licensors retain all right, title, and interest in and to the website, branding, service framework, templates, systems, methods, documentation, underlying software, and all related intellectual property, except to the extent otherwise expressly agreed in writing.

You retain ownership of the content, data, prompts, files, materials, and other information that you provide to Lakos Automation. Subject to your compliance with these Terms and payment of all applicable fees, you may use outputs delivered to you through the services for your internal business purposes, subject to any restrictions imposed by third-party providers, applicable law, or written agreement.

Lakos Automation may retain and use general ideas, know-how, methods, processes, and improvements developed or refined in the course of providing services, so long as doing so does not disclose your confidential information or transfer ownership of your specific materials. Custom deliverables, ownership transfers, and license rights will be governed by the applicable proposal, statement of work, or written agreement.

Suspension and Termination

Lakos Automation may suspend or terminate your access to any part of the services at any time if you breach these Terms, fail to pay amounts due, create legal or security risk, misuse the services, or engage in activity that could harm Lakos Automation, its vendors, other users, or third parties.

Lakos Automation may also modify, replace, limit, or discontinue any feature or service at any time, with reasonable notice where practical. We may remove content, deny requests, or refuse service where necessary to address abuse, legal exposure, operational issues, vendor restrictions, or security concerns.

You may stop using the services at any time, but termination does not relieve you of obligations accrued before termination, including payment obligations, restrictions on use, and any provisions that by their nature should survive termination.

Third-Party Services

The services may depend on or integrate with third-party platforms, infrastructure providers, cloud services, communication providers, analytics tools, automation tools, or AI model providers. Lakos Automation is not responsible for outages, changes, limitations, pricing changes, or acts or omissions of third-party providers except as explicitly stated in a written agreement.

Your use of third-party platforms connected to the services may also be subject to separate terms and privacy policies imposed by those third parties. You are responsible for complying with those third-party terms where applicable.

Disclaimers

The services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. Lakos Automation disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the services will be uninterrupted, accurate, error-free, secure, or meet your expectations.

Lakos Automation does not guarantee business outcomes, revenue increases, lead volume, conversion rates, legal compliance, or error-free outputs from AI systems, automations, or integrations. Any implementation timelines, performance expectations, or recommendations are estimates unless expressly guaranteed in a written agreement.

Limitation of Liability

To the fullest extent permitted by law, Lakos Automation will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or business interruption arising out of or related to the services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Lakos Automation’s total aggregate liability for any and all claims arising out of or relating to the services or these Terms will not exceed the total amount paid by you to Lakos Automation in the 12 months immediately preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Lakos Automation and its affiliates, contractors, service providers, and representatives from and against claims, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the services, your violation of these Terms, your content or data, your misuse of AI outputs, or your violation of any law or third-party rights.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.

Dispute Resolution

Before filing a legal claim, the parties agree to first attempt to resolve the dispute informally by providing written notice and allowing a 30-day period to discuss and attempt resolution in good faith. If the dispute is not resolved during that period, either party may pursue the claim in court.

Any legal action or proceeding arising out of or relating to these Terms or the services must be brought exclusively in the state or federal courts located in or serving Palm Beach County, Florida, and each party consents to the personal jurisdiction and venue of those courts.

Changes to These Terms

Lakos Automation may update these Terms from time to time to reflect changes in services, business practices, legal requirements, or risk management needs. Updated Terms will be posted on the website with a revised effective date.

Your continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms, unless a separate written agreement states otherwise.
